Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you and TeacherSEO LTD, a company registered in the United Kingdom (company number 16369014) ("TeacherSEO", "we", "us", or "our"). By creating an account, purchasing a subscription, or accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you are using the Services on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.
PLEASE READ THESE TERMS CAREFULLY. IF YOU DO NOT AGREE TO THEM, DO NOT USE THE SERVICES.
- Services. The "Services" are the software platform, website, and related tools we make available at https://teacherseo.com. The Services are designed to help online sellers research keywords, analyze listings, and use related SEO and drafting tools. Unless we state otherwise, these Terms apply only to the web-based TeacherSEO service.
- Eligibility and Accounts. You must be at least 18 years old and able to enter into a binding agreement to use the Services. You agree to provide accurate account information and to keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- Subscription Plans. We may offer free access to limited features and paid subscription plans with additional features or higher usage allowances. The features, limits, and pricing for your plan are described in the product, at checkout, or in your account settings.
- Billing and Renewal. Paid subscriptions renew automatically on the billing interval you select unless canceled before renewal. You authorize us and our payment processor to charge the payment method you provide for recurring subscription fees, taxes, and any other amounts you authorize. We may suspend or limit access if a payment fails or your account becomes delinquent.
- Payment Processing. Payments are processed by Stripe or another third party payment provider we may designate from time to time. TeacherSEO does not store full payment card details.
- Plan Changes, Cancellation, and Refunds. You may upgrade, downgrade, or cancel your subscription through your account settings or by contacting support at [email protected]. Unless our Refund Policy or applicable law says otherwise, cancellations take effect at the end of the current paid term. Eligible annual subscriptions canceled within the refund window described in our Refund Policy may be refunded and canceled immediately.
- Pricing Changes. We may change subscription pricing, plan structure, or feature availability from time to time. If a price change affects your paid subscription, we will provide notice before it takes effect at renewal unless a shorter period is required by law or tax changes.
- Acceptable Use. You agree not to, and not to allow others to:
- copy, rent, resell, sublicense, or commercially exploit the Services except as expressly permitted by us;
- reverse engineer, decompile, or attempt to discover source code or underlying models except where prohibited by law;
- bypass security, rate limits, or usage restrictions, or interfere with the operation of the Services;
- use bots, scripts, or other automation to scrape or extract data from the Services except where we explicitly allow it;
- use the Services in violation of applicable law or the rights of others;
- submit or use content you do not have the right to use, including content that infringes copyright, trademark, privacy, or other rights;
- misrepresent your affiliation with TeacherSEO or imply our endorsement where none exists.
- Usage Limits. Your plan may include feature, request, connected store, credit, or other usage limits. Those limits may be described in the Services, at checkout, or in your account. We may enforce reasonable technical and anti-abuse limits to protect the Services and other users.
- Third-Party Services. Some features of the Services rely on or interact with third-party services, platforms, data providers, payment processors, or authentication providers. Your use of those third-party services is governed by their own terms and policies, not ours. We are not responsible for third-party services or for changes to them that affect the Services.
- AI Features and Informational Outputs. Some parts of the Services may use artificial intelligence, automation, or third-party data sources. Outputs are provided for informational purposes only and may be incomplete, inaccurate, or outdated. You are responsible for reviewing outputs and deciding how to use them.
- Customer Data. As between you and TeacherSEO, you retain ownership of the content and data you submit to the Services ("Customer Data"). You grant us a limited, non-exclusive, worldwide license to host, use, process, reproduce, and display Customer Data only as necessary to provide, maintain, secure, and improve the Services and as otherwise permitted by these Terms and our Privacy Policy.
- Intellectual Property. We and our licensors own the Services, including the software, design, trademarks, logos, methodologies, and other content we make available, excluding Customer Data. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.
- Feedback and Aggregated Data. If you provide feedback, suggestions, or ideas, we may use them without restriction or obligation to you. We may also use de-identified and aggregated data to operate, improve, and promote the Services, so long as that data does not identify you personally.
- Privacy. Our Privacy Policy explains how we collect, use, and share personal data. It is incorporated into these Terms by reference.
- Suspension and Termination. We may suspend or terminate your access to the Services if we reasonably believe you have violated these Terms, created risk for us or other users, failed to pay amounts due, or used the Services unlawfully. You may stop using the Services at any time. After termination, some provisions of these Terms will continue to apply by their nature.
- Disclaimers. TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FIT FOR A PARTICULAR PURPOSE, OR THAT ANY ANALYSIS, RECOMMENDATION, SCORE, OR OUTPUT WILL BE COMPLETE, ACCURATE, OR SUITABLE FOR YOUR PARTICULAR USE.
- Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY LAW, TEACHERSEO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO TEACHERSEO IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
- Indemnity. You agree to defend, indemnify, and hold harmless TeacherSEO and its affiliates, officers, employees, agents, and licensors from claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your Customer Data, your use of the Services, or your violation of these Terms or applicable law.
- Governing Law and Disputes. These Terms are governed by the laws of England and Wales, excluding conflict of laws rules. Any dispute arising out of or in connection with these Terms will be resolved exclusively by binding arbitration in London, United Kingdom, on an individual basis, except that either party may seek injunctive or other equitable relief in the courts of England and Wales where appropriate.
- General Terms. We may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets. You may not assign these Terms without our prior written consent. Our failure to enforce a provision is not a waiver. If any provision is held unenforceable, the remaining provisions will remain in effect. We are not liable for delays or failures caused by events beyond our reasonable control.

UNITED KINGDOM - Entire Agreement. These Terms, together with our Privacy Policy, Refund Policy, and any additional terms presented to you in connection with specific features or purchases, form the entire agreement between you and TeacherSEO regarding the Services and supersede prior discussions or agreements on that subject.
